1. PURPOSE OF THE PORTAL

1.1 The Portal provides an administrative platform through which individuals may apply to subscribe for shares issued by the Company in connection with its KiiBank business line.

1.2 The Portal is not a public trading platform and does not provide secondary market services.

1.3 Access to the Portal does not constitute an offer to the public. All participation is subject to approval by the Company.

2. ELIGIBILITY AND REGISTRATION

2.1 Registration is open; however, submission of a registration does not create any right to subscribe for shares.

2.2 The Company reserves the right, at its sole discretion, to approve or reject any registration or subscription request without providing reasons.

2.3 Users must provide accurate and complete information, including identity verification documentation where required.

2.4 Users are responsible for maintaining the confidentiality of their login credentials. The Company is not liable for unauthorised access resulting from failure to secure account details.

3. PRIVATE OFFERING STATUS

3.1 The share offering conducted through the Portal is private and is not a public offer of securities.

3.2 Access to subscription opportunities is subject to the Company’s internal approval process and applicable laws.

3.3 The Company may impose eligibility criteria, investment thresholds, or other restrictions at its discretion.

4. SUBSCRIPTION PROCESS

4.1 A subscription becomes effective only when:

(a) cleared funds have been received; and

(b) the Company has formally approved the subscription; and

(c) the shares have been entered into the Company’s register of members.

4.2 Submission of payment does not guarantee acceptance or issuance of shares.

4.3 The Company reserves the right to reject any subscription prior to approval.

5. MINIMUM INVESTMENT

5.1 The Company may set and amend minimum investment thresholds for any investment round.

5.2 The applicable minimum investment for a given round will be displayed within the Portal.

6. SHARE CHARACTERISTICS

6.1 Shares issued via the Portal are issued by KiiBase Ltd.

6.2 Shares are subject to the Company’s Articles of Association and constitutional documents.

6.3 Shares are non-transferable except with prior written consent of the Company.

6.4 There is no public market for the shares.

7. VALUATION AND INFORMATION

7.1 Any valuation information reflects internal methodology at the relevant time.

7.2 Valuation information does not constitute a guarantee of future value or performance.

8. DIVIDENDS

8.1 Dividends are declared at the discretion of the Company.

8.2 No user has entitlement to dividends unless formally declared.

9. ELECTRONIC COMMUNICATIONS

9.1 Documents and communications may be provided electronically.

9.2 Electronic records maintained by the Company constitute conclusive evidence.

10. LIMITATION OF LIABILITY

10.1 The Portal is provided on an "as is" basis.

10.2 The Company shall not be liable for indirect or incidental loss.

10.3 Nothing excludes liability for death, personal injury, negligence, fraud, or liability that cannot lawfully be excluded.

11. SUSPENSION AND TERMINATION

11.1 The Company may suspend or terminate access at its discretion.

11.2 Suspension does not affect existing shareholdings.

12. GOVERNING LAW AND JURISDICTION

12.1 These Terms are governed by the laws of England and Wales.

12.2 The courts of England and Wales shall have exclusive jurisdiction.

13. ENTIRE AGREEMENT

These Terms, together with the Company’s constitutional documents and any subscription agreement, constitute the entire agreement.
